Medihub Partner Agreement
MEDIHUB PARTNER AGREEMENT
This Partner Agreement ("Agreement") is a legally binding agreement between:
Medihub Pty Ltd (ABN 45 117 885 828 ) of Unit 2, 2 Costello Place, Seven Hills, New South Wales - Australia, 2147 ("Medihub", "we", "us", or "our");
and
The registered business entity accepting this Agreement ("Partner", "you", or "your").
1. Definitions
In this Agreement:

App means the Medihub mobile application (iOS and Android).

Specialised Support Payment means any amounts payable to the Partner under this Agreement.

Partner Account means an account created within the App for participation in the Medihub partner program.

Representative means an individual authorised by the Partner to access and use the Partner Account.
-
ABN means an Australian Business Number.
2. Acceptance and Structure of Agreement
2.1 This Agreement is entered into by the business entity associated with the Partner Account.
2.2 By creating a Partner Account, you confirm that:

You are a registered business or sole trader with a valid ABN; and
-
You are authorised to accept this Agreement on behalf of that business (if applicable).
2.3 Where a Representative signs up or uses the App:
-
They do so on behalf of the Partner; and
-
The Partner is fully responsible for all actions taken by that Representative.
3. Eligibility
3.1 To participate in the Medihub partner program, you must:
-
Be a registered business entity or sole trader;
-
Hold a valid ABN;
-
Provide accurate business and contact details;
3.2 Medihub may:
-
Verify your ABN and business details;
-
Approve or reject any Partner Account at its discretion.
4. Representatives and Account Access
4.1 A Partner may authorise one or more Representatives to:
-
Access the App;
-
Recommend products;
-
Facilitate transactions.
4.2 The Partner:
-
Is solely responsible for managing and authorising its Representatives;
-
Must ensure Representatives comply with this Agreement and all applicable laws.
4.3 Medihub is not responsible for:
-
Internal disputes between a Partner and its Representatives;
-
Any misuse of access within a Partner’s organisation.
5. Nature of Relationship
5.1 The Partner is an independent contractor.
5.2 Nothing in this Agreement creates:
-
Employment
-
Partnership
-
Joint venture
6. Transactions and Role of Medihub
6.1 Medihub (or its suppliers) sells Products to customers via the App.
6.2 The Partner:
-
Is not the supplier of the Products;
-
Does not enter into contracts of sale with customers (unless otherwise agreed in writing).
7. Specialised Support Payment
7.1 The Partner may receive Specialised Support Payments on eligible transactions.
7.2 Specialised Support Payment:
-
Is determined in accordance with a separate Specialised Support Payment Schedule;
-
May vary between Partners;
-
Is payable only on valid and completed transactions.
7.3 Medihub may:
-
Adjust or update Specialised Support Payment structures;
-
Withhold or reverse Specialised Support Payments where required.
7.4 The Partner acknowledges that it is solely responsible for understanding and complying with all legal, regulatory, tax, and professional obligations associated with receiving Specialised Support Payments in its profession.
8. Payments
8.1 All Consultation Fee payments are made to the Partner (business entity associated with the ABN).
8.2 The Partner must:

Provide valid bank account details within the App;
-
Ensure payment details correspond to the Partner entity or authorised account.
8.3 Where a Representative operates the account:
-
Payments will still be made to the Partner (business entity), unless otherwise specified within the App.
8.4 The Partner acknowledges that:
-
Medihub is not responsible for distributing payments to individuals within the organisation;
-
It is the sole responsibility of the Partner to allocate or distribute funds to its Representatives.
9. Multiple Accounts and ABN Use
9.1 A single ABN may be used across multiple Partner Accounts.
9.2 This may include situations where:
-
A business operates multiple locations; or
-
Different teams or managers operate separate accounts.
9.3 Each Partner Account:
-
May have separate login credentials and operational control;
-
May nominate separate payment details.
9.4 The Partner acknowledges that:
-
Medihub treats each Partner Account independently for operational purposes;
-
It is the responsibility of the Partner to manage internal allocation of funds across accounts.
10. Partner Obligations
The Partner must:
-
Use the App lawfully and professionally;
-
Ensure all Representatives act appropriately;
-
Comply with all applicable laws, including the Australian Consumer Law;
-
Not engage in misleading or deceptive conduct.
11. Liability and Indemnity
11.1 The Partner is responsible for:
-
All activity conducted under its Partner Accounts;
-
All acts and omissions of its Representatives.
11.2 The Partner indemnifies Medihub against any claims arising from:
-
Breach of this Agreement;
-
Misconduct or negligence;
-
Actions of Representatives.
12. Suspension and Termination
Medihub may suspend or terminate any Partner Account if:
-
This Agreement is breached;
-
Fraud or misuse is suspected;
-
Eligibility requirements are no longer met.
13. Terms and Conditions
The Partner agrees to comply with Medihub’s general Terms & Conditions, which may be updated at any time without notice.
It is the Partner’s responsibility to review such terms regularly.
14. Amendments
Medihub may update this Agreement from time to time.
Continued use of the App constitutes acceptance of any updates.
15. Governing Law
This Agreement is governed by the laws of New South Wales, Australia.
16. Acceptance
By creating a Partner Account, you confirm that:

You are authorised to act on behalf of the business associated with the ABN;
-
You agree to be bound by this Agreement.
